These Terms of Service ("Terms") govern your access to and use of WorkDeep's desktop application, mobile application, and related cloud services (together, the "Services"). The Services are operated by Tianwei Zhongxiang Technology (Tianjin) Co., Ltd. ("WorkDeep", "we", "us", or "our"). Please read these Terms carefully before using the Services. By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
WorkDeep provides an AI-powered work assistant that can, among other things:
The Services rely on artificial intelligence ("AI") models. AI output can be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing and verifying AI output before relying on it, and for all decisions and actions you take based on it.
You are responsible for any applicable taxes. Where required, we will collect and remit taxes on your behalf.

The Services, including software, design, trademarks (including "WorkDeep"), and documentation, are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer the Services except as expressly permitted by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes, subject to these Terms.
The Services may integrate with or link to third-party services (including app stores, payment processors, and external websites). We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their own terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUT IS PROVIDED FOR ASSISTANCE ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, MEDICAL, OR OTHER ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases; sections that by their nature should survive (including Sections 5, 7, 9, 10, 13, and 14) will survive termination. You may export your data before termination; we will honor data deletion requests as described in our Privacy Policy.
We may update these Terms from time to time. Material changes will be announced through the Services (for example, by a notice or an updated "Last updated" date). Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute informally by contacting info@workdeep.ai. If a dispute cannot be resolved informally within thirty (30) days, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, the arbitration shall be conducted in English by one (1) arbitrator, and the arbitral award shall be final and binding on both parties. Nothing in this section limits your rights under mandatory consumer protection laws of your country of residence.
